General Delivery Conditions

Principles:
- Unless otherwise agreed in writing by buyer the price shall be fixed until end of contract.
- Unless otherwise specified in writing prior to shipment, inland and international transportation shall be responsibility of buyer or seller according to the Incoterm stated on the Purchase Order. Definition of shipping term informed on order is provided under the International Chamber of Commerce's Incoterms® 2010.
- Seller shall respect the delivery time mentioned on this order, but it is allowed to ship ahead of schedule if requested by the buyer.
- If the delivery of the goods to the departure airport/port is delayed without the acceptance of the buyer and not because of major force, seller shall pay a penalty of 2% of total amount of shipment per week with maximum of 10%. If the shipment delays more than 5 (five) weeks buyer reserves the right to cancel the balance of order.
- The seller is responsible to ship the material in appropriate package for air shipment. b) If the material arrives at destination airport/port damaged because of no appropriate package the material will be rejected. c) When shipment package contains wood, seller must send the Fumigation Certificate in addition to the stamp on the wood pallet or package. It is the supplier¿s responsibility to comply with International Standards for Phytosanitary Measure ISPM 15.
- Seller is responsible to ship the material in strict accordance with Technical Specification mentioned on this contract.
- The significant modification in product in terms of manufacturing equipment, form, aspect or physical, chemical and mechanical properties, and compliance to industrial standards shall be formal communicated in reasonable time for critical analysis and action planning. Supplier must provide all technical assistance / information necessary to the correct implementation of the modifications. Material acceptance is conditioned to Furukawa¿s previous approval.
- In case of rejection because of any quality or production problem or anything out of agreed on Technical Specification, buyer will inform seller if material will be shipped back with all costs paid by seller or if material will be discarded at our facility and all rejection costs must be refunded by the seller.
- In case of replacement, seller shall ship replace material in the exactly same quantity of Return Invoice in only one shipment by air with no costs to Furukawa in a maximum of 30 days from B/L Return date.
- In case of rejection because of any other cause, FISA is responsible for all costs and consequences.
- Seller shall warranty the technical characteristics and performance of material shipped in strict accordance with our technical specification.
- Seller in sole responsible for patent of goods produced. If Seller in any case transgresses any patent or trademark right from Buyer or from any third party, seller agrees to identify, defend, and hold harmless the Buyer and its officers, directors, agents, and employees from and against any and all demands, claims, and damages losses and liabilities, including reasonable attorney's fees, arising out of or caused by any patent and/or trademark transgression caused by the seller.
Remarks
GENERAL
Unless otherwise agreed in writing by buyer, all terms and conditions for the goods and/or services described herein shall be subject to the sole and exclusive terms and conditions set forth herein.
PRICES
Unless otherwise agreed in writing by buyer the price shall be fixed until end of contract.
TRANSPORTATION AND ROUTING

MODIFICATIONS
No amendment to or modification or alteration of the terms and conditions set forth herein shall be effective against buyer's specific written agreement hereto.
